"Seller" means Invictus 1928 Ltd, a company registered at Abanos str. 16, Sofia 1616, Bulgaria (Registration No. 204613312, VAT BG204613312).
"Buyer" means any duly registered business entity, retailer, distributor, or wholesale partner that places an order with Invictus 1928 Ltd.
"Products" means the licensed consumer goods offered in the Invictus 1928 trade catalogue, including but not limited to ceramic tableware, hydration products, food storage, and merchandise.
"Licensed IP" means all intellectual property associated with the character licences held by Invictus 1928 Ltd, including but not limited to Harry Potter, DC Comics, Sanrio, Sega/Sonic, and Universal/DreamWorks properties.
All orders are subject to minimum order quantities (MOQ) as indicated in the product catalogue. MOQ requirements vary by product and licence, and are set to comply with the production and royalty terms of the relevant licence agreements.
The Seller reserves the right to decline any order without obligation to provide reasons.
All prices are quoted in Euros (EUR) or USD excluding VAT unless otherwise stated. Prices are indicative and subject to final confirmation at the time of order.
Standard delivery terms are EXW (Ex Works) factory or FCA (Free Carrier) port of origin, unless otherwise agreed. Lead times are typically 45–90 days from order confirmation, depending on product type and current production schedules.
All products bearing licensed intellectual property are produced under valid licence agreements. The Buyer acknowledges and agrees that:
Invictus 1928 Ltd holds authorised licences for the 27 EU markets. Territory-specific restrictions may apply to individual licences.
Returns are accepted only for goods that are demonstrably defective due to manufacturing fault. The Buyer must notify the Seller of any defect within 14 calendar days of receipt of goods, providing photographic evidence.
The Seller's liability is limited to the replacement of defective goods or a credit note. No cash refunds will be issued except at the Seller's sole discretion.
Minor variations in colour or design that are within industry-standard tolerances do not constitute defects.
Private label manufacturing services are available subject to separate written agreement. All private label products bearing third-party IP require prior written approval from the relevant rights holder. The Buyer is solely responsible for ensuring that any branding, artwork, or copy used in private label products does not infringe any third-party rights.
These Terms & Conditions are governed by the laws of the Republic of Bulgaria and applicable EU legislation. The parties submit to the exclusive jurisdiction of the competent courts of Sofia, Bulgaria for the resolution of any dispute.
